1. Acceptance
These Terms of Service ("Terms") govern your access to and use of the production coordination service provided by Visianary, Inc. ("Visianary," "we," "us") at visianary.ai and related applications (the "Service"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
Visianary provides tools for coordinating film and television crew, including sending availability requests and confirmations by SMS, tracking holds and releases, and related production workflows. Features may change over time, and the Service is offered on an evolving, early-access basis.
3. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. By using it, you represent that you meet these requirements.
4. Accounts and responsibilities
You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of any account credentials, and for all activity under your account. Notify us promptly of any unauthorized use.
5. SMS and messaging
By providing your mobile number and opting in, you consent to receive recurring SMS messages for production coordination. Message frequency varies. Message and data rates may apply. Reply STOP to opt out and HELP for help. Consent is not a condition of purchase. Message handling is described in our SMS Terms & Opt-In and Privacy Policy.
6. Acceptable use
- +Do not use the Service unlawfully, or to harass, defraud, or harm others.
- +Do not send messages to individuals who have not consented, or use the Service to send spam.
- +Do not attempt to disrupt, reverse engineer, or gain unauthorized access to the Service.
7. Intellectual property
The Service, including its software, design, and the Visianary name and logo, is owned by Visianary and protected by law. You may not copy, modify, or distribute it except as permitted. You retain rights to the content and data you submit, and grant us the license necessary to operate the Service.
8. Third-party services
The Service relies on third-party providers (such as messaging, hosting, and payment services). We are not responsible for third-party services, and your use of them may be subject to their own terms.
9. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that messages will always be delivered, as delivery depends on carriers and other factors outside our control.
10. Limitation of liability
To the fullest extent permitted by law, Visianary will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim will not exceed the amount you paid us for the Service in the twelve months before the claim.
11. Indemnification
You agree to indemnify and hold Visianary harmless from claims arising out of your use of the Service or your violation of these Terms.
12. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, unless otherwise required by law.
13. Changes
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
